Board of Directors
The Board of Directors, appointed by the Shareholders’ Meeting on September 10, 2025, will remain in office for three financial years, and therefore until the date of the shareholders’ meeting called to approve the financial statements for the year ending on December 31, 2027.

Luca Grillo
President and CEO
Luca Grillo, born in Palmanova (UD) in 1971, holds a degree in Civil Engineering. A member of the Order of Engineers of the Province of Udine, he built a rich career from 1998 to 2002 as Head of Operations for Tunnels and Special Foundations at I.CO.P. SpA. In 2002, he was appointed Head of Operations for the Special Foundations Division and Technical Director, overseeing the operational organization of I.CO.P. SpA’s special foundations activities, including project accounting, supplier and contract management, construction site coordination and management, and research and development of new technical solutions. In July 2004, he became Project Manager for the Special Foundations Division and assumed the role of Manager, performing coordination and sales activities: project acquisition and operational organization. From 2010 to 2020, he was appointed a member of the Board of Directors of I.CO.P. SpA. In May 2009, he was appointed CEO of ISP SA, a Swiss company specializing in special foundations, which was acquired 100% by I.CO.P. SpA and is now part of the I.CO.P. Group. The close collaboration with I.CO.P. S.p.A. continues.

Leonardo Spada
CEO
Leonardo Spada, born in Montevideo (Uruguay) in 1958, is a Geologist with a degree in Geological Sciences. Registered with the Order of Geologists of Lombardy, he has built a career rich in experiences since 1982. As the founder of the Associated Studio of Engineering and Geology in 1994, he has led significant projects for entities such as the Ministry of Public Works and the National Research Council. Since 1999, he has served as the Chief Executive Officer of Palingeo S.r.l. (now S.p.a.), contributing to key projects for Autostrade per l’Italia, CEPAV 2 – RFI, and others. His expertise spans various areas, from civil engineering to environment and hydraulics, demonstrating competence in managing complex structural interventions.

Paolo Franzoni
Employer Safety and Environment
Paolo Franzoni, born in Brescia (BS) in 1962, holds a degree in Civil Engineering and is a member of the Order of Engineers of the Province of Brescia. He built a rich career from 1997 to 2000. He began his collaboration as a designer for “Fondater Pali s.r.l.”, a company specializing in the construction of special foundation structures. From 2000 to 2012, he served as Chairman of the Board of Directors of “Fondater Pali s.r.l.”; in this role, in addition to managing the procurement of contracts, he oversaw the technical office and construction site management. From 2012 to 2014, he served as a consulting engineer for “Teknodrill s.r.l.” – Brescia, as a designer and construction site manager; Associate Engineer at “Ing. Paolo Del Pecchia e Associati” – Milan, with expertise in civil engineering, specializing in the design and construction of foundation and soil consolidation projects. From 2014 to 2018, Consulting Engineer at “Palingeo srl” – Carpenedolo, Brescia, with expertise in civil engineering, specializing in the design and construction of foundation and soil consolidation projects. From 2018 to now, employed by Palingeo S.p.A., with responsibilities in estimating and design.

Piero Petrucco
Councilor
Piero Petrucco, born in Udine (UD) in 1962, holds a degree in Civil Engineering. A member of the Order of Engineers of the Province of Brescia, he has built a rich career. Since 1988, Piero Petrucco has worked at I.CO.P. S.p.A., the family construction company specializing in road and hydraulic works, foundations, and microtunnelling. In 1990, he assumed the role of Technical Director and, a few years later, between 1994 and 2002, became President. Since 2004, he has held the position of Vice President and CEO, contributing to the company’s development and growth. Alongside his entrepreneurial activity, he has held numerous institutional and association roles: he was a member of the Association of Engineers of Udine between 2001 and 2005, president of the Cassa Edile della Provincia di Udine from 2003 to 2014, president of CEFS – Centro Edile Formazione e Sicurezza of Udine from 2004 to 2010, and of Formedil Friuli Venezia Giulia from 2006 to 2012. From 2010 to 2021, he served on the Board of Directors of Formedil nationally, and within associations, he is vice president of ANCE nationally, with important responsibilities, including that of the Research Center. At the European level, he served as vice president of FIEC – European Construction Industry Federation, with responsibility for sustainability, and since 2024, he has been president of the federation for the 2024-2026 term. In addition to these roles, he also holds important positions in the area, such as Deputy Vice President of Confindustria Udine with responsibility for Culture and a member of the Chamber of Commerce Council of Pordenone-Udine, as well as participating in organizations related to social issues, volunteering, and housing policies.

Giacomo Petrucco
Councilor
Giacomo Petrucco, born in Udine (UD) in 1995, was a full-time student at the Sant’Anna School of Advanced Studies, where he earned his Master’s degree with honors. He holds a bachelor’s degree with honors in Economics and Business and a master’s degree with honors in Strategy, Management, and Control from the University of Pisa, and a doctorate in Business Administration and Management from the same university. He is a certified public accountant. After several internships and research experiences abroad during his studies, he began his professional career in 2019 in the International Finance function at Atlantia.
Before joining I.CO.P. S.p.A., he worked as an official in the Treasury Department of the Ministry of the Economy and Finance, including an internship in the Cabinet of the European Commissioner for the Economy in Brussels. He coordinates strategic finance, corporate development, and investor relations activities.

Paolo Copetti
Councilor
Paolo Copetti, born in Gemona del Friuli (UD) in 1970, after graduating in Business Economics from Bocconi University in Milan, earned a Master’s in Business Administration from York University in Toronto, Canada. From 1993 to 1996, he worked at AKROS MERCHANT S.r.l. in Milan as a financial analyst. From 1998 to 2003, he worked at POZZO S.p.A. in Tavagnacco (UD) as Chief Financial Officer. From 2004 to 2005, he served as Chief Financial Officer at LEAD ITALIA S.r.l. in Pordenone (a company belonging to the VEOLIA ENVIRONMENT GROUP). Since 2005, he has been working at I.CO.P. S.p.A., where he served as Chief Financial Officer and as a member of the Board of Directors. He recently held the position of Administrative Manager of the Icop Group. Since 2010, he has been a member of the Board of Directors and CFO of Implenia Italia S.p.A. From 2013 to 2014, he was a member of the Board of Directors of I.CO.P. S.p.A. Scandinavia S/A. Since 2016, he has been a member of the Board of Directors of EPI Sas (Bogota – Col). Between December 2016 and January 2017, he oversaw the structuring and issuance of a mini-bond for I.CO.P. S.p.A. for a total of €12 million, divided into two tranches (€7 million and €5 million respectively), with Banca Sella acting as advisor for the placement and subsequent listing of the bonds on the ExtraMOT PRO professional segment dedicated to these instruments. This is one of the first mini-bond issuances by a medium-sized company in the construction sector. In 2018, he oversaw the entry into Élite, the international program of the London Stock Exchange Group.

Nicolò Alberini

Nicolò Alberini, born in Gualdo Tadino (PG) in 1970, graduated in Civil Engineering and subsequently earned a Master’s degree in Structural Civil Engineering. Since 2017, he has served as Head of Foundation Operations at I.CO.P. S.p.A., where he has overseen numerous major projects both in Italy and abroad as Foundation Operations Director and Project Manager. His professional experience has led him to manage complex and strategic projects in the infrastructure and specialized foundation works sector. Since 2024, he has also been a member of the Board of Directors of AIF – Association of Foundation Companies, contributing to the development and representation of the sector at the national level.

Paolo Franzoni
Prosecutor
Paolo Franzoni, born in Cremona on 29/06/1961, is an Engineer with a degree in Civil Engineering specializing in Transportation obtained from the University of Pavia. Registered with the Order of Engineers of the Province of Cremona (registration number 752), he has accumulated extensive experience in the field. Since 1999, he has been serving as the Technical Director at Palingeo S.r.l. (now S.p.a.), where he currently holds the position of Prosecutor. Since 2003, he has also been the Site Manager for S.In.Ge.A. He has managed various civil engineering projects, including highway, railway, hydraulic, and industrial works. His role as a Project Manager has involved activities such as consolidation, structural restoration, and special projects. He has collaborated with significant clients such as Autostrade per l’Italia, RFI, and Metro Blu. His expertise spans from design to the coordination of complex projects.

Gianbattista Lippi
Prosecutor
Lippi Gianbattista, born in Cortenovogi (Brescia) on September 22, 1960, obtained his diploma as a Surveyor in 1997. A founding member of Palingeo, after a long career in the relevant sector, he has made his technical knowledge available to the Company. His contribution specifically, but not limited to, includes the planning of work, the organization of the commencement of work and site supervision, as well as the research and subsequent negotiations for the purchase of construction equipment. From 1979 to 1999, he was a site manager at Consonda S.p.A.

Alessio Minelli
CFO
Alessio Minelli is a renowned Chartered Accountant and Certified Public Accountant, with extensive experience in the financial and accounting field. He has successfully operated both independently and in collaboration with professional firms in Brescia, providing specialized consultancy in company valuations, extraordinary transactions, and corporate restructuring. He has played key roles as a consultant for public entities and private companies, including ACI Brescia and 1000 Miglia S.r.l. His expertise also extends to listing operations and corporate restructuring. Minelli is a leader who stays updated by actively participating in specialized conferences. With strong relational and organizational skills, he effectively manages teams and collaborators, ensuring excellent business management.

Alberto Dell’Acqua
Independent Director
Alberto Dell’Acqua is an Associate Professor of Corporate Finance and Real Estate at SDA Bocconi School of Management and a Professor of Financial Management and Corporate Banking at Bocconi University. He has directed the Master in Corporate Finance and co-directed the Executive Master in Corporate Finance & Banking at SDA Bocconi. His research focuses on corporate finance, private equity, venture capital, and corporate governance. As an author of essays published in academic journals, he has received awards for research and teaching.
He serves as the Vice President of a financial advisory and investment company, sits on boards of directors, and participates in Advisory Boards. With a Ph.D. in Corporate Finance, he is also a public official engaged in local administrations, a member of ministerial committees, and a mentor for Fintech start-ups. Additionally, he is an avid squash player.

Antonia Coppola

Antonia Coppola is a renowned Chartered Accountant and Certified Public Accountant, registered with the ODCEC of Rome and the MEF Register. Her extensive experience ranges from corporate and tax assistance to due diligence, from company valuations to handling tax disputes. She is the owner of an associated studio in Rome, where she works in partnership with other professionals. She is involved in multiple roles as a statutory auditor and member of the audit committee in various financial, energy, and service companies, as well as serving as a board member in listed companies. She is actively engaged in teaching, working as a contract lecturer at Uninettuno University in Rome and speaking at numerous specialized conferences. She has authored several informative articles and contributed to the writing of corporate finance manuals. Coppola is a prominent figure in the professional landscape, known for her expertise and dedication in the field of corporate and financial consulting.

The Board of Statutory Auditors, appointed by the Assembly on November 9, 2023, will serve until the approval of the financial statements of Palingeo S.p.A. for the year ending December 31, 2025.

Ramona Corti
Effective Mayor
Ramona Corti, Certified Public Accountant and Statutory Auditor, holds a Ph.D. in Business Economics and a cum laude Master’s degree in Business and Economics from the University of Milan – Bicocca. Currently a Partner at the Professional Studio Corti Fumagalli Giobbi, she has rich experience as a lecturer in Management and Business Economics at the University of Milan – Bicocca. With expertise ranging from international taxation to startups, she has held prominent roles in various companies, including serving as the Chairman of the Board of Statutory Auditors of BRW S.p.A. and an Independent Director in a company listed on Euronext Growth Milan. A polyglot with excellent proficiency in Italian and English, and knowledge of French and German, her versatility and expertise make her a multifaceted professional.

Luigi Vannini
Effective Mayor
Luigi Vannini, Certified Public Accountant and Statutory Auditor, graduated with honors from the University of Rome “La Sapienza” and is a former officer of the Carabinieri. He has had an exceptional academic and professional career. Registered with the Rome Professional Register since 1991, he was a university professor at La Sapienza and the University of Roma Tre from 1991 to 2020. His skills include English and Spanish. A versatile professional, he has worked as an auditor and consultant for major groups such as ENI and Telecom Italia. As a member of supervisory bodies, he also has international experience. Currently, he collaborates as an administrator in a Dutch company, highlighting in-depth expertise in finance, corporate law, and business management.

Francesco Gitti
Effective Mayor
Francesco Gitti, a professional since 1995, has developed in-depth expertise in tax litigation, corporate law, and finance. With over 25 years of experience, he possesses excellent knowledge in accounting, tax law, financial auditing, and crisis management. He has provided consultancy services to companies in the real estate, industrial, and financial sectors, collaborating with Il Sole24ORE for appraisal expertise. Holding positions as a statutory auditor and auditor in joint-stock companies, he is registered in the Register of Business Crisis Managers. Nicola Brangi
Deputy Mayor
Nicola Brangi is a Chartered Accountant and Expert Accountant with over 30 years of experience. Graduated in Business Administration from Bocconi University, he has worked both independently and at the Associated Studio of Castiglione delle Stiviere (MN). He has performed audit and certification activities at Arthur Andersen. Registered in the MEF Register of Statutory Auditors since 1995, he has held positions as Effective Director and Statutory Auditor in prominent companies. He is currently a Statutory Auditor of numerous companies in the province of Brescia and a Partner at PMI Revisioni Srl, regularly attending update conferences.

Laura Fioravanti
Deputy Mayor
Laura Fioravanti, born on 03.05.1974 in New York (USA) and residing in Monza (MB), serves as the Deputy Mayor of Palingeo S.p.A. She earned her degree in 1998 from Bocconi University in Milan, specializing in corporate finance. Licensed as a chartered accountant in 2002, she is a member of the Board of Statutory Auditors of Italian private companies, with expertise focused on Corporate Law and Corporate Governance. Since 2014, she has held the position of team leader in the corporate department, focusing on Corporate Compliance, Directorship, assistance in corporate formations, and extraordinary transactions.
